Terms of Service

These terms apply to every order placed on this website. By placing an order, you agree to them and to our Returns policy and Shipping policy, which are part of them. Please read them before you order, in particular the sections on returns, liability and disputes. If you live in the United States, disputes are resolved by binding individual arbitration, not in court or by class action, unless you opt out as explained below.

Who we are

This store, Layoverbag, is run by MB CORPORATION EI, a sole proprietor (entrepreneur individuel) registered in France, NA. Email: [email protected]. Registration details are in our Legal notice. In these terms, “we”, “us” and “our” mean MB CORPORATION EI, and “you” means the person placing the order.

Who can order

We sell to consumers buying for personal use, and we ship only to addresses in the United States. You must be at least 18 years old, or the age of majority where you live, to place an order.

Our products

  • Each product page describes the product: dimensions, materials, capacity and colors. Measurements are approximate and may vary slightly from one piece to another.
  • Colors can look different from one screen to another. Some lifestyle images are staged or computer-generated illustrations of how a bag can be used; the product itself is described by the product page text and the product photos.
  • We do not promise that any bag will be accepted as a carry-on or personal item by any airline. Airlines set their own size and weight limits, which vary by airline, fare, route and aircraft and change over time, and airline staff decide at the gate. Check your airline’s limits before you fly.

Orders

  • To order, you add products to your cart, go to checkout, enter your details, choose your shipping method and payment, and review your order and its total. You can correct any error before you click the final order button. Orders and contracts are in English.
  • Placing an order is an offer to buy. The email you receive right after checkout confirms that we received your order; it is not yet our acceptance. Your contract with us is formed when we email you that your order has shipped.
  • Before your order ships, we may refuse or cancel it, for example if an item is unavailable, a price or description on the site is obviously wrong, or we suspect fraud or an unauthorized payment. If we cancel, we refund everything you paid.
  • You can cancel your order free of charge until it is handed to our warehouse, which usually happens within 24 hours of payment: email us your order number. After that, it can no longer be changed or cancelled, except under “Shipping delays” below and, for customers in the EU/EEA and the UK, under the right of withdrawal described in our Returns policy.
  • Check your shipping address before you pay. We are not responsible for a parcel delivered to, or sent back because of, an address you entered incorrectly or incompletely.

Prices and payment

  • Prices are in US dollars. Shipping costs and any sales tax are shown in the cart and at checkout before you pay. The total shown at checkout is the amount we charge.
  • Payment is taken when you place your order. Payments are processed by Stripe; we never see or store your full card number.
  • Our business is based in France, so your bank may treat the payment as an international transaction and add its own foreign transaction or currency fee. That fee is set and kept by your bank, not by us.
  • Discounts and offers apply only as stated on the site when you order, and cannot be combined unless the offer says so.
  • If you have a problem with a charge, please contact us before disputing it with your bank: we can usually solve it faster.

Shipping and delivery

Each product page states how long an order takes to ship, and checkout shows a delivery estimate. Delivery dates are estimates, not guarantees. We ship only to addresses in the United States; how parcels travel is described in our Shipping policy.

Shipping delays

If we cannot ship your order within the time stated on the product page, or within 30 days if no time was stated, we will email you before that time runs out. The email gives a new shipping date, or tells you that we cannot give one, and lets you choose between accepting the delay and cancelling your order for a full refund.

  • If the new date is no more than 30 days after the original one and you do not reply, we treat your silence as acceptance of the delay.
  • If the delay is longer than 30 days, or we cannot give a new date, we will cancel your order and refund it in full unless you tell us that you agree to wait.
  • If we then need a further delay, we will ask you again, and we will cancel and refund your order unless you accept the new delay before the date we last gave you.
  • You may cancel a delayed order at any time before it ships.
  • Refunds for orders cancelled under this section are issued within 7 working days, to your original payment method.

Risk of loss and ownership

Ownership of the products and the risk of loss pass to you when we hand your order to the carrier. This does not reduce what we do for a parcel that is lost in transit or arrives damaged, described in our Returns policy.

Returns and refunds

Our Returns policy is part of these terms. In short: we do not accept returns, exchanges or refunds for change of mind, except under the 14-day right of withdrawal of customers in the EU/EEA and the UK; an item that arrives damaged, defective or wrong must be reported within 7 days of delivery, with photos. Please read the full policy before you order.

Warranties

Our only express warranties are the descriptions of our products on this website and, for customers in the United States, the limited warranty for damaged, defective or wrong items in our Returns policy. TO THE FULLEST EXTENT PERMITTED BY LAW, THIS WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS”, WITHOUT ANY WARRANTY.

We do not exclude the implied warranties, such as the implied warranty of merchantability, that the law gives you on the products you buy from us. To the extent that law allows, your remedy for a breach of an implied warranty is the remedy described in our Returns policy: a replacement, or a refund of the price and of the shipping you paid.

This section does not affect any legal guarantee that the law where you live gives you and that cannot be excluded.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (1) WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING MISSED OR CHANGED FLIGHTS OR TRAVEL PLANS, AIRLINE OR BAGGAGE FEES, LOSS OF OR DAMAGE TO ITEMS CARRIED IN A BAG, AND LOST PROFITS OR TIME; AND (2) OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO AN ORDER OR TO THIS WEBSITE IS LIMITED TO THE AMOUNT YOU PAID FOR THAT ORDER.

These limits apply whatever the legal basis of the claim. They do not limit our liability for death or personal injury caused by our negligence, for fraud, or any liability that cannot be limited under the law that applies to you.

Using this website

You may use this website only to browse and to buy for your personal use. You may not copy its content, scrape it, interfere with its security or use it for anything unlawful. The website and its text, images and logo are protected by intellectual property laws and belong to us or to our licensors.

Governing law

These terms, and any dispute arising from them or from your order, are governed by the laws of the State of New York, USA, without regard to conflict-of-law rules, except that the “Disputes” section below is governed by the Federal Arbitration Act. The United Nations Convention on Contracts for the International Sale of Goods does not apply. If you live outside the United States, this choice of law does not deprive you of the protection of the mandatory rules of the law of the country where you live.

Disputes (United States residents)

Please read this section carefully. It requires disputes to be resolved by binding individual arbitration instead of in court, and waives class actions and, to the extent the law allows, jury trials. You can opt out as explained below.

Talk to us first

Most problems can be solved quickly by email. Before starting any claim, you and we agree to try to resolve the dispute informally. The party with a claim sends a written notice: you send yours to [email protected], and we send ours to the email address used for your order. The notice gives your name, your order number, a description of the dispute and the outcome you want. If the dispute is not resolved within 45 days after the notice is received, either party may start arbitration or a small-claims case. Time limits for bringing claims are suspended during those 45 days.

Binding individual arbitration

If you live in the United States, any dispute between you and us arising from or relating to these terms, this website, your order or our products will be resolved by binding arbitration, except as stated under “Exceptions” below. The arbitration is administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, before a single arbitrator. As those rules allow, it takes place by video or telephone, on documents only, or in person in the county where you live. We pay the fees that the AAA rules assign to the business. The arbitrator decides all issues, except that a court decides any question about the validity, scope or enforceability of the “No class actions” paragraph. The arbitrator may award relief only in favor of the individual party seeking it, and only to the extent needed to resolve that party’s individual claim.

Exceptions

  • Either party may bring an individual claim in a small-claims court that has jurisdiction, as long as the case stays there.
  • Either party may ask a court to stop the infringement or misuse of intellectual property.
  • A request for public injunctive relief (relief whose main purpose is to protect the general public) will be decided by a court after the individual claims have been decided in arbitration, and is stayed until then.

No class actions

You and we may bring claims against each other only individually, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The arbitrator may not combine the claims of more than one person. If this paragraph is found unenforceable for a particular claim or request for relief, that claim or relief will be decided by a court, not in arbitration, after the individual claims have been arbitrated. TO THE EXTENT THE LAW ALLOWS, YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL.

Mass arbitration

If 25 or more similar arbitration demands are filed against us by or with the help of the same or coordinated lawyers, the AAA’s Mass Arbitration Supplementary Rules and fee schedule apply.

Opting out

You can opt out of this arbitration agreement within 30 days after you place your first order, by emailing [email protected] with your name, your order number and the words “arbitration opt-out”. Opting out does not affect the rest of these terms.

Courts and time limit

Any dispute that is not arbitrated will be decided only by the state or federal courts located in New York County, New York, and you and we consent to their jurisdiction, unless the law of the state where you live gives you the right to bring the case in your home courts. To the extent the law allows, any claim must be brought within one year after it arises.

Other terms

  • We may update these terms for future orders. The version in force when you placed your order applies to that order. We keep a record of your order and of the version you accepted, and we send you a copy on request.
  • If any part of these terms is found invalid or unenforceable, the rest remains in force.
  • These terms and the policies they refer to are the entire agreement between you and us about your order. If we do not enforce a right, we have not waived it.
  • Events beyond our reasonable control, such as carrier disruptions, customs holds, strikes or natural disasters, may delay our obligations; the “Shipping delays” rules above still apply.
  • We may transfer this agreement to a business that takes over this store; your rights as a consumer are not affected.
